1. Acceptance of Terms
i. By accessing or using the Zeuss Sales Management software ("the Software") provided by Nick Muller Limited (referred to as "we," "us," or "our"), you agree to comply with and be bound by these Terms and Conditions.
2. License and Usage
i. Nick Muller Limited grants you a non-exclusive, non-transferable license to use the Zeuss Sales Manager for the purpose of managing customer relationships in accordance with these terms. ii. The license is granted solely for your internal business purposes.
3. User Accounts
i. You are responsible for maintaining the confidentiality of your account and password.
ii. You agree to notify us immediately of any unauthorised use of your account.
iii. The price breaks for additional users are 1 - 10, 11 - 25 and 25+. Each price break has a different monthly charge. The price break of the next monthly charge will be applied if the company increases their number of users to the price break of the next plan. Conversely the price break also allows for downgrading the plan to a lower number of users.
iiii Additional associated companies require a separate subscription to manage the sales of a different product or service. This is defined by the use of three out of four of the following; a separate email signature, website URL, unrelated users or another Limited Liability Company.
4. Data Security
i. Nick Muller Limited will take reasonable steps to protect the security and integrity of your data stored in the Zeuss Sales Manager. However, you acknowledge that no system is completely secure, and Nick Muller Limited cannot guarantee the security of your data.
5. Payment and Billing
i. Payment for the Zeuss Sales Manager subscription must be made by the client's company debit or credit card. Invoices will be sent three days prior to billing to the nominated accounts email address.
ii. Prices are subject to an inflation adjustment every 6 months, calculated on the 1st of April and the 1st of October every 6 months retrospectively. The new price calculation is based on the Consumer Price Index for the previous 6 months. Any price changes will come into effect from the selected date, either the 1st of April or the 1st of October onwards.
iii. Zeuss Sales Manager does not accept any responsibility for maintaining client data in the event of discontinued service.
6. Late Payment Penalty
i. Late payment of invoices will incur an additional fee of 2.5% per month.
ii. Failure to pay may result in the temporary suspension or termination of your account.
iii Any additional charges or fees incurred for debt collection will be recoverable from the client. Additional charges for late payment must be paid in full prior for service to resume.
7. GST Information and Tax
i. Pricing excludes GST for customers based in New Zealand. ii. A GST invoice will be made available on request. iii. Please contact [email protected] for invoice requests, service, or [email protected]
iv. For customers outside New Zealand, it is the customer's responsibility to make any additional tax payments as per the legal requirements in their country.
v. Goods and Services Tax will not be added to pricing outside of New Zealand.
vi. Pricing outside of New Zealand is applicable in either Australian Dollars for Australia or U.S Dollars for every other country
vi. The customer is responsible for any, or all tax liability for deductions in their country of residence.

i. Confidentiality Obligation: Nick Muller Limited agrees to maintain the confidentiality of all information provided by the user ("Confidential Information").
ii. Non-Disclosure: Nick Muller Limited agrees not to disclose or distribute any Confidential Information to any third party without the prior written consent of the user, except as required by law.
iii. Protection Measures: Nick Muller Limited will implement reasonable measures to ensure the confidentiality and security of the user's Confidential Information. iv. Exceptions: The confidentiality obligations do not apply to information that is publicly available, received from a third party without obligation of confidentiality, independently developed, or required to be disclosed by law.
v. Survival: The confidentiality obligations survive the termination or expiration of the agreement.
vi. User's Responsibilities: The user agrees to maintain the confidentiality of account credentials and promptly notify Nick Muller Limited of any unauthorized access to the Zeuss Sales Manager.
i. SMS, telephony, or paid app add-ons, such as bulk email, data sync to external software or website hosting fees, these will be oncharged to the client's credit card if incurred.
ii. Nick Muller Limited will endeavor to provide adequate notice of any additional charges prior to the addition of the service and act in the best interest of the client.
i. Nick Muller Limited reserves the right to suspend or terminate your access to the Zeuss Sales Manager at any time for violation of these terms or any applicable law. The client can cancel with 48 hours written notice provided by email. All records will remain in tact for the client to export at their discretion.
i. These Terms and Conditions shall be governed by and construed in accordance with New Zealand law.
